1. About These Terms
These Terms of Service ("Terms") govern your use of the website located at aspired.agency (the "Site") and any services provided by ASPIRED Digital Ltd ("ASPIRED Digital", "we", "us", "our"), a company registered in England and Wales (Company No. 11324015), with registered office at 10 Woodsage Road, Stanford-Le-Hope, United Kingdom, SS17 0PX.
By accessing the Site or engaging our services, you confirm that you accept these Terms and agree to be bound by them. If you do not agree, please do not use this Site or our services.
These Terms apply to business users only. ASPIRED Digital provides B2B services and does not contract with individual consumers.
2. Our Services
ASPIRED Digital provides performance marketing and growth services including, but not limited to:
- Paid search and social advertising (Google Ads, Meta Ads, TikTok Ads)
- Search engine optimisation (SEO) and generative engine optimisation (GEO)
- Conversion rate optimisation (CRO)
- Website design and development
- AI agent build and deployment for sales and lead capture
- Call centre integration and sales training
- Healthcare growth marketing via ASPIRED Health (aspired.health)
The specific scope, deliverables, timelines, and fees applicable to any engagement are agreed in writing in a separate Statement of Work or Service Agreement, which takes precedence over these general Terms in case of conflict.
3. Use of This Website
3.1 Permitted use
You may use this Site for lawful purposes only, to learn about our services and make contact with us. You must not:
- Use the Site in any way that violates applicable law or regulation
- Transmit any unsolicited or unauthorised advertising material
- Attempt to gain unauthorised access to our systems or data
- Introduce malware, viruses, or malicious code
- Scrape or copy content from the Site without our written permission
- Impersonate ASPIRED Digital or any of its team members
3.2 Availability
We do not guarantee that the Site will always be available or uninterrupted. We may suspend, withdraw, or restrict access to all or part of the Site for business or operational reasons without notice.
4. Intellectual Property
All content on this Site — including text, graphics, logos, images, video, and software — is the property of ASPIRED Digital Ltd or its licensors and is protected by copyright, trade mark, and other intellectual property laws.
You may view and print content from the Site for your own personal, non-commercial reference only. You must not reproduce, distribute, modify, create derivative works from, or commercially exploit any content without our prior written consent.
4.1 Client work product
Intellectual property in deliverables created for a client (e.g., websites, ad creatives, copy) is governed by the applicable Service Agreement. Where not otherwise specified, ownership transfers to the client only upon receipt of full payment for the relevant work.
5. No Guarantees on Results
Marketing and advertising results are inherently variable and depend on factors outside our control, including market conditions, platform algorithm changes, client budget, and competition.
Any case studies, performance statistics, or examples on this Site represent historical results achieved for specific clients under specific conditions and are not guarantees of future performance. Past results do not guarantee equivalent outcomes.
We will always act with reasonable professional care and skill, but we do not warrant specific revenue, lead, or ROAS outcomes unless explicitly stated in a written Service Agreement.
6. Confidentiality
Both parties agree to keep confidential any non-public information disclosed during the course of an engagement, including business strategies, client data, financial information, and technical know-how. This obligation survives the termination of any engagement for a period of two (2) years.
Confidentiality does not apply to information that is or becomes publicly known through no breach of this obligation, or is independently developed without reference to confidential information.
7. Limitation of Liability
To the fullest extent permitted by applicable law:
- ASPIRED Digital's total liability to you for any claim arising out of or in connection with these Terms or our services shall not exceed the total fees paid by you to us in the three (3) months preceding the claim
- We shall not be liable for any indirect, incidental, consequential, special, or exemplary loss or damage, including loss of profits, revenue, goodwill, or data
- We shall not be liable for losses arising from platform changes, algorithm updates, third-party service disruptions (Google, Meta, TikTok, etc.), or events outside our reasonable control
Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other matter that cannot be excluded by English law.
8. Payment Terms
Specific payment terms are set out in the applicable Service Agreement. Unless otherwise agreed:
- Invoices are payable within 14 days of the invoice date
- Ad spend budgets are paid in advance before campaigns go live
- Late payments may incur interest at 8% above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998
- We reserve the right to pause or terminate services where invoices remain unpaid beyond 30 days
9. Termination
Either party may terminate an engagement by giving written notice in accordance with the terms of the applicable Service Agreement (typically 30 days). Upon termination:
- All outstanding fees for work completed become immediately due
- We will provide reasonable transition support to transfer assets and accounts
- Each party will return or destroy the other's confidential information on request
We reserve the right to terminate immediately and without notice if a client engages in conduct that is abusive, fraudulent, or in breach of applicable law.
10. Third-Party Links
This Site may contain links to third-party websites (including aspired.health, dentspa.com.tr, and advertising platform websites). These links are provided for information only. We have no control over third-party content and accept no responsibility for it or any loss arising from your use of such sites.
11. Changes to These Terms
We may update these Terms at any time. The "Last updated" date above reflects the current version. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
12. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless we agree otherwise in writing.
